While it's extremely difficult to predict a stock market pullback, there are certainly harbingers that the market could be in for a rough ride over the coming month. The September-October period ahead of U.S. mid-term elections is historically a volatile one. In fact, Cantor Fitzgerald notes that the S&P 500 index has fallen by 5% or more during these two months in 15 of the past 24 midterm election cycles.
At the same time, two major market valuation indicators point to stocks being at extremely frothy valuations. The S&P 500 Shiller CAPE (cyclically adjusted price-to-earnings) ratio is at over 40 times for the first time since before the dot.com market crash. The so-called Buffett indicator (U.S. stock market value divided by gross domestic product), named after Warren Buffett, is over 230%, well above the 120% where the market is considered overvalued. On September 15, Jazz Pharmaceuticals plc (NASDAQ:JAZZ) completed its acquisition of privately held Actio Biosciences for $820 million upfront, adding a clinical-stage epilepsy drug called ABS-1230 to its rare disease pipeline. The deal lands weeks after Jazz posted its highest quarterly revenue ever on August 3, and raised its full-year guidance, so a fresh acquisition now sits on top of a business that was already accelerating. The question for investors is whether that combination adds up to durable growth or just a bigger bill.
ABS-1230 targets KCNT1-related epilepsy, a rare and hard-to-treat form of the disease. In an early clinical proof-of-concept trial, children who received the drug experienced meaningful seizure reductions, and preclinical testing showed it inhibited KCNT1 across every pathogenic mutation researchers evaluated, hinting it could work across the whole patient population rather than a narrow subset. The FDA has already granted ABS-1230 Orphan Drug, Rare Pediatric Disease and Fast Track designations, and accepted it into the agency's Rare Disease Evidence Principles process, a set of regulatory advantages that can speed a drug toward approval.
The acquisition also arrives while Jazz's existing business is firing on multiple cylinders. Second-quarter revenue climbed 16% year over year to $1.2 billion, the company's highest quarterly total on record, and management raised full-year 2026 revenue guidance to a range of $4.6 billion to $4.75 billion. Growth was not confined to one product. Xywav sales rose 13% to $471 million on 525 net new patients, Epidiolex grew 16% to $292 million, and Zepzelca jumped 42% to $106 million. Zanidatamab, sold as Ziihera in biliary tract cancer, also received Breakthrough Therapy designation from the FDA for a form of colorectal cancer, adding another avenue for the oncology franchise Jazz has been building beyond its epilepsy and sleep businesses.
None of that came free. The $820 million upfront payment for Actio lands on top of $4.4 billion in long-term debt that Jazz already carried as of June 30, even after the company used part of its cash to repay $1.0 billion of exchangeable notes that matured this year. Cash, equivalents and investments stood at $2.2 billion at that point, meaning the Actio payment alone accounts for a meaningful share of the company's liquid resources.
Jazz's recent history also shows how acquisitions can distort the bottom line before they pay off. A $905.4 million in-process research and development charge tied to the 2025 Chimerix acquisition pushed second-quarter 2025 GAAP earnings to a loss of $11.74 per share, and a smaller $77 million IPR&D charge from the AbCellera and Werewolf deals still dented second-quarter 2026 results. ABS-1230 itself remains early, with only proof-of-concept data in hand and no late-stage trial results yet. The portfolio is not without setbacks, either. Expected net proceeds of $305 million to $310 million would repay debt and leave a business concentrated in North America.
The immediate hurdle is financing. The agreement, signed September 12, requires a credit-agreement amendment by October 12 extending the December 22, 2026 maturity by at least nine months. AURELIUS can terminate if that amendment is not secured by the deadline.
The Hain Celestial Group, Inc. (NASDAQ:HAIN) expects closing in its fiscal second quarter ending December 31, subject to lender agreement and regulatory approvals. The dollar consideration estimates also depend on exchange rates because the purchase price is denominated in sterling.
The transaction could materially reduce the debt burden. The Hain Celestial Group, Inc. (NASDAQ:HAIN) reported $558 million of total debt as of June 30. Subtracting the estimated net proceeds implies approximately $248 million to $253 million remaining, a calculation using rounded figures before subsequent borrowings, repayments, or other changes.
That reduction could lower interest expense and give management more room to stabilize the retained brands. The remaining portfolio includes Celestial Seasonings tea, The Greek Gods yogurt and Earth's Best baby and kids foods.

Autonomous vehicle company May Mobility is merging with a special purpose acquisition company (SPAC) and will become a publicly traded company. It's a deal that could raise more than $300 million for May Mobility at a valuation of $1.4 billion, the company said Wednesday.
Once the merger is complete, May Mobility said it will be the first public company in the U.S. that is focused entirely on autonomous ride-hailing vehicles. This is meant to differentiate it from a number of other public companies working on autonomy, including Tesla, Rivian, Alphabet (with Waymo), and trucking-focused Aurora and Kodiak.
The move sets up May Mobility to be a test of the stock market's appetite for pure-play robotaxi ventures.
It will also be a test of May Mobility's approach to autonomy, which it pitches as "asset-light" and "partnership-first." Instead of owning and operating the robotaxis, May Mobility's business revolves around selling its autonomous vehicles to its fleet partners over time while maintaining control of any remote supervision and software updates. Market data shows that a dozen Bitcoin ETFs in the U.S. saw outflows of $450 million U.S. on Sept. 15, the biggest one-day redemption since June 25th of this year.

Oscar Health (OSCR) raised its full-year earnings outlook while lowering its expected medical costs to cover benefits for its nearly 3 million Affordable Care Act exchange members. OSCR stock climbed in early Wednesday stock market action ahead of its 9 a.m. ET investor conference.
Oscar, which made an aggressive play to gain ACA market share, has seen enrollment surge 47% from a year ago as of June 30, even as overall enrollment has plunged due to the expiration of enhanced premium subsidies. As of now, it looks like the bet is paying off in a big way, with shares up 126% this year through Tuesday. But it's still a bit early to know, because Oscar's earnings depend not only on its own members' costs, but also those of other ACA insurers.
The ACA's No. 2 insurer by membership behind Centene (CNC) said that it now expects its medical loss ratio, or benefit costs as a share of premiums, to be in the 81% to 82% range, down from the prior outlook of 81.5% to 82.5%.
Oscar boosted its outlook for earnings from operations by $100 million at both ends to a range of $600 million to $800 million. The unchanged revenue outlook, between $18.7 billion and $19 billion, implies that no additional customer churn is expected.
Here is what investors should keep in mind. Compared to the overall ACA risk pool, Oscar's enrollment is relatively young, healthy and more likely to sign up for very-high-deductible bronze plans. Yet based on its relatively healthy risk pool, Oscar expects about 20% of its premiums will be paid out via risk adjustment to other carriers under ACA rules. That means results in the second half of this year depend to a large degree on the level of healthcare utilization by non-Oscar members. As of now, it's a bit early to tell, since healthcare spending tends to rise as the year progresses and insured members exhaust their deductibles.

Two former Robinhood engineers allegedly used confidential information about upcoming cryptocurrency listings to make profitable trades on decentralized exchange Hyperliquid, federal prosecutors said Tuesday.
Hefu Chai, 36, and Huaisong "Jerry" Xiang, 30, each face one count of commodities fraud and one count of wire fraud.
"Today's charges make clear that corporate insiders cannot evade the securities and commodities laws by trading based on misappropriated information in derivatives like perpetual futures, tokenized securities, or other similar financial instruments," U.S. Attorney Jamie McDonald said in a statement.
Perpetual futures, or "perps," let traders speculate on an **** et's price—often with leverage—without owning it. Unlike conventional futures, the derivatives do not expire. Hyperliquid is one of the largest decentralized platforms for trading perps and has faced increased regulatory scrutiny.
According to the DOJ, the engineers allegedly used nonpublic information about upcoming Robinhood Crypto token listings to buy related perpetual futures before the announcements, earning profits "for their own benefit" between 2025 and 2026. Each defendant earned more than $50,000 from the alleged scheme, the Justice Department said.

The equity is still up 13.3% in 2026, however, and a rebound could soon be on the way, per a historically bullish trendline.
According to Schaeffer's Senior Quantitative ***** yst Rocky White, NVDA is trading within 0.75 times the 126-day moving average's 20-day average true range (ATR), after spending at least 80% of the previous two weeks and 80% of the prior 42 trading sessions above that trendline.
This setup has appeared 11 times over the last decade, after which the stock was higher one month later 82% of the time, averaging a 6.2% gain. From its current perch, a move of this caliber would put the equity just shy of $225.
NVDA sports a 50-day put/call volume ratio at the International Securities Exchange (ISE), Cboe Options Exchange (CBOE), and NASDAQ OMX PHLX (PHLX) that stands higher than 83% of readings from the past year. Should this bearish sentiment begin to unwind, it could trigger a new round of tailwinds for the shares.

Hines and Rialto Capital secured 126 investors for their Hines Rialto Credit Partners, a co-general partnership focused on U.S. office credit investments. The fund required a minimum investment of $100K, according to a filing with the U.S. Securities and Exchange Commission.
With the rapid growth of private credit, Hines said it believes investors are searching for real estate credit strategies grounded in specialized underwriting and deep market knowledge.
"Yield alone does not tell you the quality of the risk," Alfonso Munk, Hines' global co-head of investment management, said in a statement. "In real estate credit, understanding the underlying ******* et — what it is worth, how it performs and how it may hold up under pressure — is becoming increasingly important as the market works through a significant refinancing cycle."
